Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Haetae Finance protocol, website (https://haetae.finance), and associated smart contracts (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By connecting a cryptocurrency wallet to the Service, executing transactions through the Service, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your use of the Service constitutes a binding agreement between you and Haetae Finance (“Haetae,” “we,” “us,” or “our”), a Georgia-registered entity.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old or the age of majority in your jurisdiction, whichever is higher.
- Not be a resident of, located in, or citizen of the United States of America or any of its territories.
- Not be a resident of, located in, or citizen of any country subject to comprehensive sanctions by the United States (including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine), the European Union, or the United Nations.
- Not be listed on any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC), the EU, the UN Security Council, or equivalent governmental authority.
- Not use the Service for any purpose that violates applicable law or regulation in your jurisdiction.
By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to restrict access from any jurisdiction at any time without notice.
3. Description of Services
Haetae Finance is a non-custodial, decentralized yield optimization protocol. The Service provides:
- Auto-compounding vaults: Smart contracts that automatically reinvest yield from underlying DeFi protocols to maximize returns for depositors.
- Multi-chain support: Vaults deployed across GIWA Chain, Ethereum, Base, Arbitrum, and Optimism.
- Yield optimization strategies: Automated strategies that interact with third-party DeFi protocols to generate yield on deposited assets.
The Service operates through publicly deployed smart contracts on supported blockchain networks. Haetae Finance does not take custody of your assets at any time. You interact with the smart contracts directly through your own self-custodial wallet.
The Service is provided as a decentralized finance (DeFi) protocol and a user interface for interacting with that protocol. The protocol exists independently on the blockchain regardless of whether the user interface is available.
4. Wallet Connection and Self-Custody
You retain full custody of your assets at all times. When you use Haetae Finance:
- You connect your own self-custodial wallet (such as MetaMask, WalletConnect-compatible wallets, or other Web3 wallets) to interact with the protocol.
- Haetae Finance never has access to your private keys, seed phrases, or wallet credentials.
- All transactions are initiated and signed by you through your wallet. Haetae Finance cannot execute transactions on your behalf, reverse transactions, or recover lost funds.
- You are solely responsible for the security of your wallet, private keys, and seed phrases. If you lose access to your wallet, Haetae Finance cannot help you recover your funds.
- Deposits into vaults are represented by vault share tokens held in your wallet. You may withdraw your proportional share of vault assets at any time, subject to on-chain conditions (network congestion, gas fees, liquidity availability).
5. Risk Disclosure
DeFi involves substantial risks. You may lose some or all of your deposited assets. By using the Service, you acknowledge and accept the following risks:
5.1 Smart Contract Risk
The Service relies on smart contracts deployed on blockchain networks. Smart contracts may contain bugs, vulnerabilities, or exploits that could result in the partial or total loss of deposited funds. While Haetae Finance's vault architecture is based on Beefy Finance's audited smart contract codebase, no audit eliminates all risk. Smart contracts are immutable once deployed and may not be correctable if a vulnerability is discovered.
5.2 Market and Volatility Risk
The value of cryptocurrency assets is highly volatile. The value of your deposited assets and any earned yield may decrease significantly due to market conditions. Auto-compounding does not protect against price decline of the underlying assets.
5.3 Impermanent Loss
If you deposit liquidity provider (LP) tokens into vaults, you are exposed to impermanent loss. This occurs when the relative price of the assets in the LP pair changes, potentially resulting in a lower dollar value than if you had simply held the assets.
5.4 Protocol Dependency Risk
Haetae Finance vaults interact with third-party DeFi protocols (lending platforms, decentralized exchanges, bridges). If an underlying protocol is exploited, paused, or becomes insolvent, funds deposited in Haetae vaults that depend on that protocol may be affected.
5.5 Blockchain and Network Risk
Transactions depend on the proper functioning of the underlying blockchain networks. Network congestion, high gas fees, chain reorganizations, hard forks, or network outages may affect your ability to deposit, withdraw, or interact with the Service.
5.6 Regulatory Risk
The regulatory landscape for DeFi is evolving. Changes in laws or regulations in your jurisdiction or in jurisdictions where the protocol operates may adversely affect the Service, restrict your ability to use it, or impact the value of your assets.
5.7 Oracle and Price Feed Risk
Some strategies rely on price oracles to function correctly. Oracle manipulation, stale data, or oracle failures could lead to incorrect strategy execution and potential loss of funds.
5.8 Bridge Risk
Multi-chain vaults may depend on cross-chain bridges. Bridge exploits or failures could result in loss of funds.
This is not an exhaustive list of risks. DeFi is experimental technology. You should not deposit funds you cannot afford to lose.
6. Fees
Haetae Finance charges performance fees on yield generated, not on deposited principal. Specifically:
- A percentage of the yield harvested by vault strategies is retained as a performance fee before compounding.
- Fee rates vary by vault and strategy. Current fee structures are displayed on the Service interface and are encoded in the smart contracts.
- There are no deposit fees or withdrawal fees charged by Haetae Finance, though standard blockchain network gas fees apply to all on-chain transactions.
- Fee structures may change for new vaults or updated strategies. Changes do not apply retroactively to already-deposited funds unless the vault strategy itself is updated.
You are responsible for any gas fees required to execute transactions on the blockchain networks.
7. Prohibited Activities
You agree not to use the Service to:
- Violate any applicable law, regulation, or order, including anti-money laundering (AML) and counter-terrorism financing (CTF) laws.
- Evade or attempt to evade economic sanctions imposed by the United States, the European Union, the United Nations, or any other applicable jurisdiction.
- Engage in market manipulation, wash trading, front-running, or any form of fraudulent or deceptive activity.
- Launder money or facilitate the laundering of proceeds from illegal activities.
- Exploit, attack, or attempt to exploit or attack the smart contracts, protocol infrastructure, or any associated systems (including but not limited to flash loan attacks intended to drain vault funds, oracle manipulation, or governance attacks).
- Use bots, scripts, or automated systems to interact with the Service in a manner that degrades performance for other users, except for standard wallet and portfolio management tools.
- Provide false or misleading information.
- Attempt to circumvent geographic restrictions or eligibility requirements.
We reserve the right to restrict access to the Service for any wallet address associated with prohibited activities.
8. Intellectual Property
The Haetae Finance name, logo, brand assets, user interface design, and documentation are the intellectual property of Haetae Finance and are protected by applicable intellectual property laws.
The smart contracts deployed by Haetae Finance are based on open-source code (Beefy Finance vault architecture) and are publicly viewable on-chain. The open-source components remain subject to their respective open-source licenses.
You may not use the Haetae Finance name, logo, or brand assets without prior written permission, except for factual references (e.g., reporting, reviews, portfolio tracking).
9. Third-Party Protocols and Services
The Service interacts with and depends on third-party protocols, platforms, and services, including but not limited to:
- Beefy Finance smart contract architecture (vault and strategy contracts)
- GIWA Chain, Ethereum, Base, Arbitrum, and Optimism blockchain networks
- Underlying DeFi protocols used by vault strategies (decentralized exchanges, lending protocols, liquidity pools)
- Wallet providers (MetaMask, WalletConnect, etc.)
Haetae Finance is not responsible for the operation, security, availability, or performance of any third-party protocol or service. Your interactions with third-party protocols are governed by their respective terms and conditions. We do not endorse, guarantee, or assume liability for any third-party protocol.
10. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Haetae Finance does not warrant that:
- The Service will be uninterrupted, error-free, or free from vulnerabilities.
- Any specific yield, return, or financial outcome will be achieved.
- The smart contracts will function as intended in all circumstances.
- The value of your deposited assets will be maintained.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAETAE FINANCE, ITS FOUNDERS, CONTRIBUTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF DEPOSITED ASSETS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL HAETAE FINANCE'S TOTAL LIABILITY EXCEED THE AMOUNT OF FEES ACTUALLY PAID BY YOU TO HAETAE FINANCE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Haetae Finance, its founders, contributors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Your violation of any third party's rights.
- Any losses resulting from your failure to maintain the security of your wallet or private keys.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict-of-law principles.
12.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of a mutually agreed-upon arbitration institution, seated in Georgia. The arbitration shall be conducted in English by a single arbitrator.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
12.4 Exception
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the “Last Updated” date at the top of this document and, where feasible, through a notice on the Service interface.
Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. If you do not agree with a modification, you should discontinue use of the Service and withdraw your assets from the protocol.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
15. Miscellaneous
15.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Haetae Finance regarding the Service and supersede all prior agreements and understandings.
15.2 Waiver
The failure of Haetae Finance to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
15.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Haetae Finance may assign its rights and obligations without restriction.
15.4 Force Majeure
Haetae Finance shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to blockchain network failures, natural disasters, war, terrorism, pandemics, or government actions.
